These Subscription & Billing Terms describe the commercial terms that apply when you purchase a paid plan from Nestbitt Inc. ("Nestbitt", "we", "our", or "us"). They form part of, and should be read together with, our Terms of Service. Where these terms and the Terms of Service conflict on a billing matter, these terms govern.
Payments are processed by Stripe, our third-party payment processor. When you subscribe, you provide your payment details directly to Stripe; we do not store your full payment-card number on our own servers. Your use of Stripe is also subject to Stripe's own terms and privacy notice.
Plans & Features
Nestbitt is offered through a Free plan and one or more paid Premium plans. The features, generation quotas, audio quality, and other entitlements available to you depend on the plan you are on, and certain features are gated to Premium plans only.
Current plan names, included features, quotas, and prices are shown on our pricing page within the Service. The pricing page is the authoritative source for what each plan costs and includes at any given time; we may add, change, or retire plans and features as the Service evolves.
- Free plan — Lets you try Nestbitt with limited generation quotas and a restricted feature set, at no charge.
- Premium plans — Unlock higher quotas, additional features, and expanded usage rights as described on the pricing page and in our Licensing & Usage Rights.
Billing & Automatic Renewal
Premium subscriptions are sold on a recurring basis for a fixed billing term — typically monthly or annual, as selected at checkout. Your subscription begins when your first payment is successfully processed and continues for successive terms until it is cancelled.
Your subscription automatically renews at the end of each billing term. Unless you cancel before the current term ends, we (through Stripe) will automatically charge your payment method on file the then-current price for the next term, plus any applicable taxes. By subscribing, you authorize recurring charges to your designated payment method on each renewal date without further action by you.
Your subscription renews automatically
Premium plans auto-renew at the end of every billing term and your payment method will be charged automatically until you cancel. Monthly plans renew monthly; annual plans renew annually. You can turn off automatic renewal at any time by cancelling in your account billing settings — see Cancellation below.
You are responsible for keeping your payment information accurate and up to date. You authorize us to update your stored card details using card-updater services offered by Stripe or your card network so that renewals are not interrupted by an expired or reissued card.
Price Changes
We may change subscription prices, the fees for any plan, or the entitlements included in a plan. When we increase the recurring price that applies to your subscription, we will give you at least 30 days' advance notice — for example, by email to the address associated with your account or by an in-product notice.
A price change takes effect at your next renewal after the notice period. If you do not wish to accept a new price, you can cancel before that renewal date so that the new price never applies to you. Continuing your subscription past the effective date of a notified price change constitutes acceptance of the new price.
Taxes, VAT & GST
Unless stated otherwise, prices displayed may be exclusive of applicable taxes, including Canadian GST/HST/PST, value-added tax (VAT), goods and services tax (GST), and any similar sales or consumption taxes. Where we are required to collect such taxes, they will be calculated and added at checkout and on each renewal based on your billing location.
You are responsible for any taxes, duties, or levies imposed on your purchase by any authority, other than taxes based on our net income. If you are exempt from a tax, you are responsible for providing valid exemption documentation.
Free Trials & Promotions
From time to time we may offer free trials, introductory pricing, or promotional discounts. Any trial or promotion is subject to the specific terms presented at the time it is offered, and may be limited to new users or to one redemption per person or household.
Unless we tell you otherwise, a free trial automatically converts into a paid subscription at the end of the trial period, and your payment method will be charged the applicable price unless you cancel before the trial ends. We will make the conversion terms clear before you start a trial. Promotional pricing applies only for the stated period, after which the standard price applies on renewal.
Cancellation
You can cancel your subscription at any time from your account billing settings. Cancellation turns off automatic renewal and takes effect at the end of your current billing term. You retain access to your paid plan until that term ends, after which your account reverts to the Free plan (or loses access to Premium features).
Cancelling does not, by itself, entitle you to a refund of amounts already paid for the current term. We do not provide refunds for partial billing periods except where required by law or where the Refund Policy provides for one. Your statutory consumer and withdrawal rights, described below, are unaffected.
Failed Payments & Dunning
If a renewal or other charge cannot be collected — for example, because a card is declined, expired, or has insufficient funds — we (through Stripe) may retry the charge over a period of time and notify you so you can update your payment details.
If payment remains unsuccessful, we may suspend or downgrade your access to Premium features until the outstanding amount is paid, and we may ultimately cancel the subscription. You remain responsible for any amounts properly owed for service already provided.
Refunds
Whether and when you are entitled to a refund is governed by our Refund Policy, which forms part of these terms. In summary, a refund of an initial purchase may be available within 14 days where usage has been minimal, and certain charges are non-refundable. Nothing in the Refund Policy limits any non-waivable refund right you have under applicable law.
Chargebacks & Disputes
If you believe you have been charged in error, please contact us at support@nestbitt.com before disputing a charge with your bank or card issuer, so we can resolve it quickly. Filing a chargeback for a charge that is valid under these terms may result in suspension of your account while the dispute is investigated.
Your Statutory Consumer Rights
Mandatory consumer rights are not waived
Nothing in these terms limits, excludes, or modifies any non-waivable consumer-protection right you have under applicable law. Depending on where you live, this may include rights under Alberta and other Canadian consumer-protection legislation, the Quebec Consumer Protection Act, European Union and United Kingdom consumer law, and any applicable right of withdrawal or cooling-off period for distance and online contracts. Where any of those laws give you a right that conflicts with these terms, that law prevails to the extent of the conflict.
Governing Law
These terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable there, without regard to conflict-of-laws rules and subject to the mandatory consumer-protection rights described above. Dispute-resolution and forum provisions are set out in the Terms of Service.
Changes to These Terms
We may update these Subscription & Billing Terms from time to time. When we make a material change we will update the version and effective date shown for this document and, where appropriate, provide additional notice. Material changes that increase the price of your subscription are subject to the 30-day notice described under Price Changes.
